1. Definities

In deze algemene voorwaarden wordt verstaan onder:

• Pryductions: de eenmanszaak gevestigd te Beinsdorp en geregistreerd bij de Kamer van Koophandel onder nummer 82388520.

• Klant: de natuurlijke of rechtspersoon die met Pryductions een overeenkomst sluit.

• Offerte: schriftelijk voorstel van Pryductions aan de klant met omschrijving van werkzaamheden en voorwaarden.

• Content: alle media en creatieve producties geleverd door Pryductions, waaronder video, foto, audio en grafisch werk.

• Project: het geheel van diensten en prestaties die Pryductions voor de klant uitvoert.

• Licentie: het tijdelijke gebruiksrecht van de geleverde content voor een specifiek doel zoals afgesproken.

2. Toepasselijkheid

2.1 Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, offertes, opdrachten, werkzaamheden en overeenkomsten van Pryductions.
2.2 Afwijkingen zijn slechts geldig indien schriftelijk overeengekomen.

3. Intellectueel Eigendom en Gebruiksrechten

3.1 Alle intellectuele eigendomsrechten op door Pryductions geleverde content blijven te allen tijde bij Pryductions.
3.2 De klant verkrijgt een niet-exclusieve, niet-overdraagbare licentie voor gebruik zoals vastgelegd in de offerte of overeenkomst.
3.3 Elk gebruik buiten de overeengekomen licentie is uitsluitend toegestaan met schriftelijke toestemming van Pryductions.

4. Levering, Acceptatie en Revisions

4.1 Oplevering vindt plaats op het moment van overdracht van het eindproduct aan de klant.
4.2 De klant dient binnen 5 werkdagen na levering schriftelijk bezwaar te maken; bij gebreke daarvan wordt de levering geacht geaccepteerd te zijn.
4.3 Revisiewerk binnen het aantal correctierondes zoals overeengekomen in de offerte is inbegrepen.
4.4 Meerwerk en aanvullende wijzigingen worden separaat gefactureerd.
4.5 Na acceptatie door de klant wordt het project als definitief beschouwd; latere aanpassingen vereisen een nieuwe offerte.

5. Vergoedingen en Kosten

5.1 Indien geen uurtarief is overeengekomen, geldt een standaard uurtarief van €79,- excl. btw.
5.2 Reiskosten worden in rekening gebracht à €0,23 per kilometer exclusief btw.
5.3 Indien de reistijd (enkele reis) meer dan 1 uur bedraagt, wordt voor iedere extra uur of deel daarvan een toeslag van 50% van het uurtarief gerekend.
5.4 Eventuele kosten van derden (zoals locatiehuur, modellen, apparatuur) worden alleen doorbelast indien expliciet opgenomen in de offerte of na akkoord van de klant.

6. Betalingsvoorwaarden

6.1 Facturen dienen binnen 14 dagen na factuurdatum te worden voldaan, tenzij schriftelijk anders overeengekomen.
6.2 Bij niet-tijdige betaling is de klant van rechtswege in verzuim, zonder dat een ingebrekestelling vereist is.
6.3 Pryductions is gerechtigd wettelijke rente en incassokosten in rekening te brengen.

7. Aansprakelijkheid

7.1 Pryductions is uitsluitend aansprakelijk voor directe schade tot maximaal het bedrag van de factuur voor het betreffende project.
7.2 Pryductions is niet aansprakelijk voor indirecte schade, gevolgschade of gederfde winst.
7.3 Enige aansprakelijkheid vervalt als de klant wijzigingen aanbrengt aan het geleverde werk zonder toestemming van Pryductions.

8. Inbreuk, Misbruik en Bescherming

8.1 Alle geleverde content is auteursrechtelijk beschermd.
8.2 Ongeautoriseerd gebruik, kopiëren, bewerken of verspreiden van content is strikt verboden.
8.3 Bij inbreuk is de klant een direct opeisbare boete verschuldigd van €2.500,- per incident, vermeerderd met €250,- per dag dat de overtreding voortduurt.
8.4 Pryductions behoudt zich het recht voor om juridische stappen te ondernemen en vergoeding van volledige schade en juridische kosten te eisen.

9. Toepasselijk Recht en Geschillen

9.1 Op alle rechtsverhoudingen is uitsluitend Nederlands recht van toepassing.
9.2 Eventuele geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waarin Pryductions gevestigd is, tenzij dwingendrechtelijk anders bepaald.

1. Definitions

In these general terms and conditions, the following terms are understood as:

• Pryductions: the sole proprietorship based in Beinsdorp and registered with the Chamber of Commerce under number 82388520.

• Client: the natural or legal person who enters into an agreement with Pryductions.

• Quotation: a written proposal from Pryductions to the client describing the work and conditions.

• Content: all media and creative productions provided by Pryductions, including video, photo, audio, and graphic work.

• Project: the entirety of services and deliverables that Pryductions performs for the client.

• License: the temporary right to use the delivered content for a specific agreed purpose.

2. Applicability

2.1 These general terms and conditions apply to all offers, quotations, assignments, services, and agreements of Pryductions.
2.2 Deviations are only valid if agreed upon in writing.

3. Intellectual Property and Usage Rights

3.1 All intellectual property rights to content delivered by Pryductions remain at all times with Pryductions.
3.2 The client obtains a non-exclusive, non-transferable license for use as defined in the quotation or agreement.
3.3 Any use beyond the agreed license is only permitted with written consent from Pryductions.

4. Delivery, Acceptance, and Revisions

4.1 Delivery takes place at the moment the final product is handed over to the client.
4.2 The client must raise any objections in writing within 5 working days of delivery; otherwise, the delivery is deemed accepted.
4.3 Revision work within the number of correction rounds agreed in the quotation is included.
4.4 Additional work and extra changes will be invoiced separately.
4.5 Once the client accepts the project, it is considered final; further changes require a new quotation.

5. Fees and Costs

5.1 Unless otherwise agreed, the standard hourly rate is €79 excluding VAT.
5.2 Travel costs are charged at €0.23 per kilometer excluding VAT.
5.3 If the one-way travel time exceeds 1 hour, a surcharge of 50% of the hourly rate applies for each additional hour or part thereof.
5.4 Any third-party costs (such as location rental, models, equipment) will only be charged if explicitly included in the quotation or approved by the client.

6. Payment Terms

6.1 Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
6.2 In the event of late payment, the client is in default by operation of law, without the need for a notice of default.
6.3 Pryductions is entitled to charge statutory interest and collection costs.

7. Liability

7.1 Pryductions is only liable for direct damages up to a maximum of the invoice amount for the specific project.
7.2 Pryductions is not liable for indirect damage, consequential damage, or lost profits.
7.3 Any liability lapses if the client alters the delivered work without Pryductions’ permission.

8. Infringement, Misuse, and Protection

8.1 All delivered content is protected by copyright.
8.2 Unauthorized use, copying, editing, or distribution of content is strictly prohibited.
8.3 In the event of infringement, the client owes an immediately payable fine of €2,500 per incident, plus €250 per day the violation continues.
8.4 Pryductions reserves the right to take legal action and claim full compensation for damages and legal costs.

9. Applicable Law and Disputes

9.1 All legal relationships are governed exclusively by Dutch law.
9.2 Any disputes will be submitted to the competent court in the district where Pryductions is located, unless mandatory law dictates otherwise.
